Avolon Files Registration Statement for Proposed Initial Public Offering of Common Shares Back
June 9th: Avolon Holdings Limited, the aircraft leasing company, today announced that it has filed a registration statement on Form F-1 with the U.S. Securities and Exchange Commission for the proposed initial public offering of its common shares. The IPO has been mooted by Avolon since the beginning of this year, and, following the recent decision of Dublin-based AWAS not to follow the same route, the way has become clear for it to become the fifth major aircraft leasing company to obtain a public stock quotation in the US.
The offering is expected to be solely secondary. The number of shares to be sold and the price range for the proposed offering have not yet been determined.

J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and Citigroup Global Markets Inc. are acting as joint book-running managers for the offering.

"A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This press release shall not constitute an offer to sell or a solicitation of an offer to buy, nor shall there be any sale of the securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction" the statement says.

The IPO has been mooted by Avolon since the beginning of this year as part of the next phase of its financing, which includes the Finance Dublin Deals of the Year award winning Emerald $636m ABS issuance which was the first publicly rated (by Kroll) aircraft securitisation since 2007.

The offering will be made only by means of a prospectus. Copies of the preliminary prospectus related to the offering may be obtained, the company said, from J.P. Morgan Securities LLC, c/o Broadridge Financial Solutions, 1155 Long Island Avenue, Edgewood, NY 11717, or by telephone at 866-803-9204; from Morgan Stanley & Co. LLC, Attention: Prospectus Department, 180 Varick Street, 2nd Floor, New York, NY 10014; or from Citigroup Global Markets Inc., c/o Broadridge Financial Solutions, 1155 Long Island Avenue, Edgewood, NY 11717, telephone: +1 (800) 831-9146.
