The role reports into the Company Secretary for our client€s in-house companies in Ireland. The role is to work alongside the Company Secretary and the other member of the team to provide core company secretarial services to six in-house companies, two of which are regulated by the Central Bank of Ireland, and their respective committees. The person fulfilling this role will be required to demonstrate a strong ability to carry out all core company secretarial functions to the highest standards, with a key emphasis on minute taking.


This role will allow the successful candidate to demonstrate their ability to perform at the highest level and be recognised for doing so
This role will offer exposure to the most senior management particularly through attendance at board and committee meetings.
As the regulatory landscape continues to evolve it will allow the person taking on the role to have an input into the way our client meets the ever changing demands from a corporate governance perspective.
The role is supportive of a work life balance and may allow for flexible working options
Principal Responsibilities:

Attend board and committee meetings, and take comprehensive notes (no voice recording permitted)
Produce very comprehensive minutes, recording the full discussions taking place at the meetings, and compile an action point log, within the required deadlines
Work with the relevant in-house person to produce an agenda for the relevant meeting
Request required reports and produce the pack for the meeting using Diligent (pack preparation application) within the set deadline
Book rooms for meetings and request refreshments as required
Book phone video conference facilities when needed
File forms with the Companies Registration Office in respect of the in-house companies including B10s and B1s and undertake associated actions
Update, maintain and file the Beneficial Ownership Register for the in-house companies
Update and maintain the Terms of Reference for the relevant committees
Facilitate the conducting of board and committee evaluations as required
Update and obtain approval for changes to the authorised signatory lists for the in-house entities
Oversee the use of company seals and update the sealing register when required
Maintain up to date records for each company on the Company Secretarial Database
Respond to requests received from the regulator, the external auditors, Compliance, Audit Services and Control for the provision of information and documentation within the requested deadlines
Assist the Company Secretary to ensure that the regulated in-house companies are in compliance with the IFIA Corporate Governance Code for Fund Service Providers at all times
Maintain and keep up to date procedures for the Company Secretarial function

Previous experience within a Company secretarial function required
Strong minute taking skills
Effective organisational skills
Ability to prioritise tasks and work to deadlines
Ability to communicate strongly when dealing with all levels within the organisation
Knowledge of the Companies Act, 2014 and the IFIA Corporate Governance Code
